NasdaqThe Nasdaq Stock Market, Inc. (NASDAQ(r)) (Nasdaq:NDAQ) today announced its 2007 listings statistics. NASDAQ attracted more initial public offerings (IPOs) last year than any other U.S. exchange. Of the 237 IPOs that were eligible to list on NASDAQ or the NYSE Group last year, NASDAQ listed 154, or 65 percent.

Many of the largest U.S. IPOs, as measured by proceeds raised, listed on NASDAQ. They were led by Interactive Broker Group, Inc. (Nasdaq:IBKR) and TFS Financial Corporation, (Nasdaq:TFSL), which raised more than $1.2 billion and $871.3 million, respectively.

NASDAQ continued to win more new listings than any other U.S. exchange, as measured by the total number of issues. During 2007, NASDAQ captured 290 new listings, comprised of the following categories:

NASDAQ Supports New SEC Rules Allowing Non-U.S. Companies to File Financial Statements Using International Financial Reporting Standards

The Nasdaq Stock Market, Inc. ("NASDAQ(r)") (Nasdaq:NDAQ) announced it fully supports the Securities and Exchange Commission's (SEC) decision today to allow non-U.S. companies to file their financial statements with the SEC using International Financial Reporting Standards (IFRS). The SEC's new rules eliminate the need for non-U.S. companies to reconcile their financial statements prepared under IFRS with U.S. Generally Accepted Accounting Principles (U.S. GAAP).

To enable NASDAQ-listed companies to take full advantage of this change, NASDAQ today submitted a proposal to the SEC to allow non-U.S. companies to satisfy NASDAQ's financial listing requirements using IFRS. NASDAQ's filing will be subject to public comment and must be approved by the SEC.

"The SEC's action will help increase the attractiveness of the U.S. as a place to raise capital," said Bruce Aust, Executive Vice President of NASDAQ's Corporate Client Group. "It removes unnecessary costs and steps that create barriers to attracting international companies. The SEC's decision clearly communicates that the U.S. markets are dedicated to wringing the cost and inefficiency out of doing business in the U.S."

NASDAQ to Acquire Boston Stock Exchange and Key Exchange Assets

The Nasdaq Stock Market, Inc. (NASDAQ(r)) (Nasdaq:NDAQ), today announced it has entered into a definitive agreement to acquire the Boston Stock Exchange (BSE), including the holding company (BSE Group), the Boston Equities Exchange (BEX), the Boston Stock Exchange Clearing Corporation (BSECC), and BOX Regulation (BOXR). Along with these businesses, NASDAQ will acquire an SRO (Self-Regulatory Organization) license for trading both equities and options. NASDAQ's acquisition of the BSE Group is valued at approximately $61 million.

NASDAQ will not acquire an interest in the Boston Options Exchange (BOX) from the BSE. However, a regulatory framework for the BOX market will remain in place. NASDAQ, through BOXR, will operate the regulatory services provider to the BOX, which is an options trading facility of the BSE. NASDAQ and BOX are discussing a plan regarding the future regulatory structure for BOX.

Bob Greifeld, President and Chief Executive Officer of NASDAQ, said, "NASDAQ is very focused on meeting the needs of its customers. This transaction provides added liquidity, new trading choices and an enhanced competitive market environment. NASDAQ's acquisition of the BSE will expand NASDAQ's execution offerings, and deliver user and investor benefits consistent with our Brut and INET acquisitions." Greifeld added, "We believe a second exchange license in both equities, and in the future options, will provide market structure flexibility as we continue to deliver on our mission of being the number one trading platform in the transactions business."

Upon approval of the transaction, NASDAQ will have the ability to offer a second quote within the U.S. equities marketplace. NASDAQ anticipates operating the BSE using its INET trading system.

Additionally, subject to SEC approval, NASDAQ anticipates utilization of the BSE Clearing Corporation.

NASDAQ Executive Vice President of Transaction Services, Chris Concannon commented, "This deal will allow our customers to better execute their trading strategies. From critical trading functionality, to crossing products, and risk management offerings, NASDAQ's second quote in NASDAQ, NYSE and AMEX-listed securities will arm our diverse customer base with more choices and competitive pricing options. Additionally, we are optimistic that the clearing business will provide valuable benefits for both NASDAQ and our customers over time."

As previously noted, NASDAQ anticipates organically launching The NASDAQ Options Market, a price/time priority options market in December 2007, subject to SEC approval.

The transaction is subject to SEC approval and approval by BSE members. NASDAQ & BSE's board of directors have approved the transaction, which is expected to close by early first quarter 2008. It is anticipated that the transaction will be accretive to NASDAQ shareholders within 12 months from closing.

NASDAQ Grants License to the CBOE Futures Exchange to Trade Futures On the CBOE NASDAQ-100 Volatility Index

The NASDAQ Stock Market ("NASDAQ(r)") (Nasdaq:NDAQ) announced it has licensed the CBOE Futures Exchange(sm) (CFE(r)) to offer futures contracts based on the CBOE NASDAQ-100 Volatility Index(sm) (symbol VXNSM, futures symbol VN), which launched on Friday, July 6.

John Jacobs, Executive Vice President for NASDAQ, said, "We are very pleased to partner with CFE in taking this important step forward for the financial markets. Volatility is an emerging new asset class and tools like the CBOE NASDAQ-100 Volatility Index are playing a vital role in spurring the growth and development of this space. With the introduction of these new futures contracts, investors, for the first time, now have the ability to trade the CBOE NASDAQ-100 Volatility Index."

Volatility is a measure of the fluctuation in the price performance of underlying stocks or stock indexes. Mathematically, volatility is the annualized standard deviation of returns. Typically, higher volatility signifies more uncertainty while lower volatility means less uncertainty. In 2007, the CBOE NASDAQ-100 Volatility Index has ranged in value between 14.83 and 24.61 and has recently been below the mid-point of its 2007 high-low range. The CBOE applies a similar measurement of option-derived volatility to the NASDAQ-100 Index that it applies to other leading U.S. stock market indexes, including those of Dow Jones, Standard & Poor's, and Russell. CBOE first introduced the CBOE NASDAQ-100 Volatility Index as a benchmark index in January 2001. For more information on how the CBOE NASDAQ-100 Volatility Index is calculated, as well as daily historical data, visit the CBOE's website at www.cboe.com/VXN.
